Introduction

These Terms & Conditions (“Terms”) govern your use of the Uplift Web Solutions website (upliftweb.com.au) and our services. By using our website or engaging our services, you agree to these Terms. Please read them carefully.

1. Services Offered

Uplift Web Solutions provides:

  • Web design and development services, including 4-page websites
  • Domain name registration and management
  • Website hosting and maintenance
  • Ongoing support and updates
  • Optional add-ons (“PowerUps”) at additional cost

Our standard package includes the initial website build and ongoing subscription services for hosting, maintenance, and support. Additional services, such as content creation, SEO optimization, or extensive customization beyond the standard 4-page website, are available as PowerUps.

2. Subscription Model

Our services operate on a subscription basis:

  • Subscription fees are charged for ongoing website hosting, maintenance, and support
  • The subscription period begins when you sign up to our services, and continues until terminated
  • PowerUps consist of either a one-time fee or recurring fees, depending on the specific service

3. Payments & Billing

  • Our Uplift Advantage subscription (4-page website package at $299 per month) requires a minimum 12-month commitment
  • If you cancel before the 12-month period is complete, the remainder of fees for the minimum term are immediately payable
  • Our subscription services are auto-billed on a recurring monthly basis unless otherwise agreed in writing
  • Payments are processed via Stripe, and while payment processing occurs offline from our website, your payment information is subject to Stripe’s security protocols and privacy policy
  • Failure to make timely payments may result in the suspension or termination of services
  • One-time service fees (e.g., PowerUps) are charged as agreed upon at the time of purchase
  • All prices are in Australian Dollars (AUD) and include GST where applicable
  • Prices are subject to change, and we will provide at least 30 days’ notice in advance if adjustments are made

4. Client Responsibilities

You agree to:

  • Provide accurate information and required content for your website in a timely manner
  • Respond promptly to requests for approvals or information needed to complete your services
  • Take responsibility for any content added to your website, ensuring it complies with legal and ethical standards
  • Not use our services for illegal, harmful, or prohibited activities
  • Maintain the confidentiality of any account credentials provided to you
  • Notify us promptly of any unauthorized use of your account or other security concerns

5. Intellectual Property and Website Ownership

  • Any custom website or design created by Uplift Web Solutions remains our property until the completion of the 12-month minimum term or full payment of all outstanding fees for this minimum term
  • Upon completion of the 12-month minimum term or full payment of all outstanding fees for this minimum term, you receive a license to use the website design for the purposes intended
  • At the end of your subscription term (once the 12-month minimum term is complete or all outstanding fees for this minimum term are paid), you may take ownership of your website content and design
  • If you wish to migrate your website to another hosting provider, we can provide this service for a one-time fee of $499
  • Any costs associated with your new third-party hosting provider will be at your expense
  • You retain all rights to your business content, logos, and branding materials that you provide to us
  • Our website templates, proprietary tools, and methodologies remain the property of Uplift Web Solutions and may not be copied, modified, or resold
  • We may display your website in our portfolio unless you specifically request otherwise

6. Website Content

  • You are responsible for ensuring that all content on your website (including text, images, fonts, videos, and other media) complies with applicable laws and regulations
  • We reserve the right to refuse to include content that we reasonably believe is illegal, offensive, or potentially harmful
  • You warrant that any content you provide does not infringe upon any third party’s intellectual property rights

7. Domain Names

  • If we register a domain name on your behalf, it will be registered in your name where possible
  • You are responsible for complying with the terms and conditions of the domain registrar
  • We will manage domain renewals for the duration of your subscription unless otherwise agreed

8. Cancellations & Refunds

  • You may cancel your subscription at any time with 30 days’ written notice
  • For the Uplift Advantage subscription (our standard 4-page website package), a 12-month minimum commitment applies, and early cancellation will require payment of the remaining fees for this minimum term
  • Service termination will occur at the end of your current billing period or after full payment of any outstanding minimum term fees
  • Refunds are generally not provided for services already rendered
  • No refund will be issued for setup or development work already completed
  • If we are unable to deliver the agreed services, we may offer a partial or full refund at our discretion
  • Specific PowerUps may have their own refund policies, which will be communicated at the time of purchase

9. Service Availability and Support

  • We strive to maintain website uptime of at least 99%, excluding scheduled maintenance
  • Scheduled maintenance will be performed during off-peak hours whenever possible
  • Support requests will be addressed during our normal business hours: [Insert Business Hours]
  • Emergency support for critical issues may be available outside normal business hours

10. Limitation of Liability

  • Uplift Web Solutions is not liable for any direct, indirect, incidental, or consequential damages arising from the use of our services
  • Our total liability for any claim arising from our services shall not exceed the amount paid by you for the specific service giving rise to the claim
  • We do not guarantee uninterrupted or error-free service but will work to resolve issues promptly
  • This limitation of liability does not exclude any warranty or guarantee that cannot be excluded under Australian Consumer Law

11. Indemnification

You agree to indemnify and hold harmless Uplift Web Solutions, its employees, and affiliates from any claims, damages, liabilities, costs, or expenses arising from your use of our services or your violation of these Terms.

12. Termination

We reserve the right to terminate or suspend your access to our services for:

  • Violation of these Terms
  • Non-payment
  • Engaging in fraudulent or illegal activities
  • Any other reason we deem necessary to protect our services, users, or reputation

13. Governing Law

These Terms are governed by the laws of Australia. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts in Victoria.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force.

15. Changes to These Terms

We may update these Terms as needed. Material changes will be communicated to you via email or notices on our website. Your continued use of our services after changes constitutes acceptance of the revised Terms.
